Terms of Service
Please read these Terms of Service carefully before using DBMigrateAIPro or medaxai.com. These terms constitute a legal agreement between you and MedaxAI.
1. Acceptance of Terms
By downloading, installing, or using DBMigrateAIPro ("the Software") or visiting medaxai.com ("the Website"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Software or Website. These terms apply to all users, including individuals, companies, and other organisations.
2. Description of Service
DBMigrateAIPro is a self-hosted desktop application for database migration developed by MedaxAI. The Software runs entirely on your local machine. During the Year 1 open beta period (May 2026 – May 2027), all Pro features are provided free of charge. MedaxAI reserves the right to introduce paid plans after the beta period with reasonable advance notice to users.
3. License Grant
Subject to these Terms, MedaxAI grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your internal business or personal purposes. You may not redistribute, sublicense, sell, or rent the Software. You may not reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law.
4. Beta Software
The Software is currently in open beta. Beta software may contain bugs, errors, or incomplete features. MedaxAI provides beta software "as is" and makes no guarantee of stability, accuracy, or fitness for a particular purpose. You acknowledge that beta software is not suitable as the sole means of production data migration without independent verification and backup procedures.
5. Your Responsibilities
You are responsible for: maintaining backups of your data before running any migration; ensuring you have appropriate authority to migrate the databases you connect to the Software; complying with all applicable laws, including data protection laws, when migrating data; keeping your credentials and API keys secure; providing accurate information when registering for early access or submitting feedback.
6. Data and Privacy
Your database credentials and data remain on your machine at all times. The Software does not upload your database content to MedaxAI servers. See our Privacy Policy for information about what data medaxai.com collects and how it is used.
7. Intellectual Property
DBMigrateAIPro, the MedaxAI name and logo, and all related intellectual property are owned by MedaxAI. Nothing in these Terms grants you any ownership rights in the Software. Feedback, bug reports, and feature requests you submit may be used by MedaxAI to improve the product without compensation or attribution.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MEDAXAI DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DATA MIGRATION RESULTS WILL BE ACCURATE OR COMPLETE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF MEDAXAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MEDAXAI'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED USD $100.
10. Indemnification
You agree to indemnify, defend, and hold harmless MedaxAI and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Software, your violation of these Terms, or your violation of any third-party rights.
11. Modifications to the Service and Terms
MedaxAI reserves the right to modify the Software, Website, or these Terms at any time. Material changes to the Terms will be communicated by updating the "Last updated" date and, where appropriate, by email to waitlist subscribers. Your continued use of the Software or Website after changes constitutes acceptance of the updated Terms.
12. Termination
MedaxAI may terminate or suspend your access to the Software or Website at any time, with or without cause, with or without notice. You may stop using the Software at any time by uninstalling it. Sections 7, 8, 9, 10, and 13 survive termination.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to binding arbitration or the jurisdiction of courts applicable to MedaxAI's place of incorporation.
